Requirements

NY bar admission
5+ years of corporate experience with a strong emphasis on fund formation, private equity, or venture capital and experience at a law firm
Strong drafting, negotiation, and client management skills

Responsibilities

Lead fund formation and structuring for venture capital, private equity, and credit funds - drafting LP/GP agreements, PPMs, side letters, and subscription documents
Advise fund managers and investors on regulatory compliance, SEC filings, and tax-efficient structures
Negotiate and document venture equity rounds, convertible instruments (SAFEs/convertible notes), and hybrid financings
Handle cross-border fund matters and multi-jurisdictional investor representations
Build long-term client relationships with founders, startups, funds, and institutional investors
